UGC Collaboration Agreement

Date: 2026-10-21

1. Parties

Creator: [your name / business].

Brand: [brand legal name].

2. Deliverables and dates

2 UGC videos (1 testimonial, 1 demo), 30–60s, 9:16, with and without captions, 3 hooks each.

Preview by [date]; final files by [date]. Dates move day-for-day with any delay in the Brand’s approvals or advertising vetting, without penalty to the Creator.

1 round of revisions, requested within 2 working days of the preview. A changed brief after filming is a reshoot, priced separately.

The Creator states only their honest experience and claims the Brand approves in writing and can substantiate.

3. Fee

The Brand pays the Creator ₦0 (the “Fee”). Payment: 50% (₦0) before work starts and 50% (₦0) before final files are delivered. Payment goes into the account in the Creator’s name stated on the invoice.

Pre-approved out-of-pocket expenses are invoiced separately at cost with receipts and do not form part of the Fee.

4. Tax

VAT: the Creator is not VAT-registered; no VAT is charged.

Withholding tax: where the Brand is required by law to deduct tax at source, it shall deduct at 2% (other services, under the Deduction of Tax at Source (Withholding) Regulations 2024) on the Fee only, never on VAT or expenses; remit it on time; and within 30 days of remittance give the Creator a receipt showing the Creator’s Tax ID, gross amount, rate, amount deducted and month. If the Brand deducts at the doubled rate after the Creator has supplied a Tax ID, the Brand shall correct it.

If the Brand needs an e-invoice through the NRS e-invoicing system, it will say so in writing before payment.

5. Ownership and usage

The Creator keeps the copyright in the content and any raw footage. Delivering files does not transfer copyright. Any assignment or exclusive licence takes effect only as set out in a document signed by the Creator.

On full payment, the Brand gets a non-exclusive licence to use the content on its own social pages, website and catalogues in Nigeria for 12 months from delivery. It may trim, caption and resize, but not change the meaning or put words in the Creator’s mouth.

Paid ads: not included. Ads still running when the licence ends must stop within 7 days.

Not included unless signed separately: perpetual use, assignment of copyright, TV or outdoor use, and use of the Creator’s face or voice to train or generate AI content.

Exclusivity: none.

Portfolio: the Creator may show the content after the Brand launches it.

6. Advertising approval (ARCON) and disclosure

The Brand, through a registered advertising practitioner, is responsible for any Advertising Standards Panel approval required under the Advertising Regulatory Council of Nigeria Act 2022 before the content is published, boosted or otherwise exposed in Nigeria, and for related fees. The Creator will supply final content at least 5 working days before the posting date and will not post or boost it as an advertisement until the Brand provides the approval or confirms in writing, on its practitioner’s advice, that none is required.

Sponsored content is clearly labelled as a paid partnership (platform tool and/or “#Ad” at the start of the caption). The Brand will not ask the Creator to hide or remove the label.

The Brand is responsible for the truth of product claims and testimonials it supplies or approves, and for its product’s registrations, and indemnifies the Creator against fines, claims and costs arising from missing approvals or Brand-approved claims.

7. Personal data and consent (NDPA 2023)

Each party uses the other’s personal data (names, contact and bank details, Tax ID) only to perform this agreement, keeps it secure and does not share it except with its advisers, payment providers and the tax authority, in line with the Nigeria Data Protection Act 2023.

The Creator consents to the Brand using the Creator’s name, image and voice as they appear in the content, only within the licence above. Any other use needs the Creator’s separate written consent, which the Creator may withdraw for future uses. If the Creator receives the Brand’s customer data, the parties will first sign a written data processing agreement.

8. Cancellation and late payment

If the Brand cancels before filming, any deposit is refunded; after filming starts, the deposit is kept; after the preview is delivered, the full Fee is due. If the Creator fails to deliver, the Creator refunds all payments received.

The licence starts only on full payment. Sums more than 7 days overdue attract 2% per month and all use must stop until paid.

9. General

Either party may end this agreement for a material breach not fixed within 7 days of written notice. Each party’s liability is capped at the Fee, except for the Brand’s indemnity above. Fees and unreleased products are confidential. Nigerian law applies; the parties will try to settle disputes by mediation first. Signatures may be electronic.
